By accessing or using UWmatic at https://uwmatic.com (the "Service"), you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
1. Definitions
For the purposes of these Terms:
- "Company" (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Vrij Capital WY LLC, doing business as UWmatic.
- "Service" refers to the UWmatic platform, website, and related services.
- "User" (referred to as either "the User", "You", or "Your") refers to the individual or entity using our Service.
- "Account" means a unique account created for You to access our Service or parts of our Service.
- "Content" refers to data, text, information, screenshots, images, graphics, or other materials uploaded, downloaded, or appearing on the Service.
2. Accounts, Registration, and Eligibility
To access certain features of the Service, you must register for an account. When you register, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.
The Service is offered solely to residents of the United States and is not directed to, or intended for use by, residents of any other country. By creating an account you represent that you are a resident of the United States and at least 18 years of age.
3. Property Slots and Payments
UWmatic uses a property-based pricing model. A Property Slot is consumed when you save a property to your account — not when you upload documents or run an analysis. Every new account receives 4 free property analyses as a one-time lifetime allowance — they do not reset and do not expire, and may be used through document upload, chat, or manual entry. After those, the Free plan continues at 2 property analyses per calendar month plus a limited monthly allowance of each AI feature; additional Property Slots are available through the subscription plans described on our Pricing page. Unused monthly credits roll over subject to a cap. All payments are processed by Stripe, and we never receive or store your card details.
4. Intellectual Property
The Service and its original content (excluding Content provided by Users), features, and functionality are and will remain the exclusive property of Vrij Capital WY LLC and its licensors.
5. Acceptable Use
You agree not to use the Service in any way that violates any applicable national or international law or regulation.
6. Account Sharing Prohibition
Your login credentials are strictly for your individual account use and must not be shared with others.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND.
8. No Reliance and Professional Advice Disclaimer
THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. THE COMPANY DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, INVESTMENT, REAL ESTATE, OR OTHER PROFESSIONAL SERVICES OR ADVICE. You must not rely on the Service as the sole basis for any investment or financing decision.
9. Real Estate Data and Calculation Disclaimer
All real estate data, property information, market analytics, financial calculations, and investment projections provided through the Service are estimates only and may not reflect actual market conditions.
10. User Responsibility for Data and Third-Party Information
You are solely responsible for the accuracy, quality, integrity, legality, and appropriateness of all data you input into the Service. Documents you upload may contain personal information about tenants, residents, brokers, or other individuals. As between you and UWmatic, you are the controller of that information and UWmatic processes it solely on your instructions. You represent that you have the right to provide it to us.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UWMATIC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
15. Artificial Intelligence Technology Disclosure
The Service uses artificial intelligence to parse documents and generate analyses. AI output may be incomplete or incorrect and must be reviewed by you before use. Document contents are transmitted to the AI providers listed on our Subprocessor page.
19. Governing Law, Arbitration, and Class Action Waiver
These Terms are governed by the laws of the State of Wyoming.
Please read this paragraph carefully — it affects your legal rights. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association in Cheyenne, Wyoming, before a single arbitrator, rather than in court. You waive the right to participate in a class, consolidated, or representative action, and you and the Company each waive any right to a jury trial. The Company may still seek injunctive relief in court to protect its intellectual property.
21. Export Control and International Use
You may not use the Service where doing so would violate U.S. export control or sanctions law.
22. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole.
